| Article No. 1 : NAME: 1.1: Name: The name of the Organisation shall be
'ALL INDIA UCO BANK OFFICERS' FEDERATION'. HEREINAFTER shall be referred to as
'Federation'.
Article No. 2 : OFFICE :
2.1: Registered Office: The registered
Office of the Federation shall be at the Headquarter of the Bank. (i.e. 10, Brabourne
Road, Kolkata- 700 001.)
Article No. 3 : OBJECT :
3.1 : Objects: The objects of the
Federation shall be:
- To foster sprit of fraternity, co-operation and mutual
assistance amongst all officers of UCO BANK (hereinafter referred to as 'Bank' for
concision) and to include cultural sprit in them.
- To promote and establish concordant, cordial and consummate
relations among different affiliated units of the Federation.
- i. To organise and unite all officers of the Bank in various
affiliated units and to regulate their relations with the management and other cognisable
authorities.
ii. To aid, advise and assist officers of the Bank to form Trade Unions and other
compatible societies / associations wherever needed.
- To co-ordinate, guide and regulate the activities of the
affiliated units.
- To affiliate and federate the Officers' trade union
organisations of the Bank in the States of Indian Union.
- To affiliate or federate with other organisations in Indian
Union having identity of objects, policies and philosophy with the Federation.
- To secure for officers of the Bank through collective
bargaining, negotiation, litigation or any other organisational, legal and democratic
process, adequate compensation for the services rendered by them to the Bank, fair service
conditions and terminal benefits, effective machinery for redressal of grievances and
protection against victimisation and exploitative practices of the Bank management and any
other cognisable authorities.
- To take all steps that may be necessary to settle as far as
possible and practicable amicably disputes between
(a) the members of its affiliated units,
(b) the members of its affiliated units and others and
(c) the affiliated units.
- To do all that is necessary and possible through legitimate
means, for raising the standard and status of life, efficiency and knowledge to secure
health, well-being, career, happiness and to promote and safeguard the interests, rights,
privileges and ameliorate economic, social and cultural conditions to the members of its
affiliated units.
- To promote co-operative societies with the end of
encouraging thrift and co-operation amongst members of its affiliated units.
- To provided legal assistance, financial aid and any other
support to the members of its affiliated units in respect of matters arising out of or
incidental to their employment as far as resources of the Federation permit and it is
allowed under the Indian Trade Union Act, 1926.
- To Publish books, periodicals, voicing amongst other matters
grievances of Officers and containing matters of interest to them for circulation amongst
all the members of its affiliated units and other persons and bodies interested in banking
industry.
- To raise funds, borrow money from Banks or others, secure by
mortgage on property of the Federation or to raise clean loans or deposits.
- To own, acquire, purchase, sell or lease, property including
immovable property for carrying on the activities of the Federation.
- To invest fund of the Federation, not immediately required
in such investments as may, from time to time, be determined.
- To draw, make, accept, endorse and negotiate cheques,
promissory notes, bills of exchange, hundies and other negotiable instruments in the
course compatible with the object of the Federation.
- To do all such and other things as are necessary to further
the objects of the Federation and/or its affiliated units.
- To form/promote a Trust:
- To initiate process of awareness regarding health, education
etc. as may be decided from time to time.
- To promote activities for social welfare and general
awareness amongst citizen of the country.
- To promote recreational organisation, for the benefit of
members.
Article No. 4 : Affiliation/Affiliated Units:
Article No. 4.1 : Affiliation: The
Federation may affiliate itself to any central trade union organisation of officers in
banking industry in Indian Union provided that such central trade union organisation is
not any way dominated or controlled by any political party or its ally or holding a
contrary view to Bank officers' collective interest and it may also withdraw itself from
the affiliation granted to it in the event of the affiliating central trade union
organisation deviating from the normal course of functioning subsequently.
Article No. 4.2 : Affiliation to Units:
The Federation may grant affiliation to any Trade Union of Officers of the Bank at State
level or at such level of territorial jurisdiction as may be deemed fit to match with the
administrative structure of the Bank. Such affiliated Trade Union shall hereinafter be
referred to as 'Unit'.
Article No. 4.3 : Eligibility: Any trade
union organisation of officers of the Bank, as stipulated in Article No. 4.2, not
presently having affiliation with any other organisation, but having identity of objects,
policies and philosophy with the Federation may be eligible for affiliation with the
Federation.
Article No. 4.4 : Admission: Any eligible
state level Association desiring to be admitted as an Unit shall make an application on
Form-001, accompanied by:
- Certified and updated two copies of its
constitution/Bye-laws and Rules;
- Two copies of latest return filed by it with the Registrar
of Trade Unions in the case of Union already registered;
- Two copies of latest and/or audited balance sheet and income
and expenditure account;
- Two copies of Office-bearers and members of the Executive
Committee; list of
- Resolution of appropriate body seeking affiliation with the
Federation authorising the General Secretary and/or any other Office-Bearer to sign the
application and comply with other requirements for admission;
- Admission fee and
- Subscription pro-rata for the period from the date of
application for admission to the end of financial year of the Federation.
Article No. 4.5 : Procedure for Affiliation:
- All application for affiliation shall be placed before the
Executive Committee who shall have powers to accept or reject any application without
being required to assign reasons for its decisions;
- Motion for affiliation shall be decided by the Executive
Committee by simple majority.
- Decision of the Executive Committee in regard to acceptance
or rejection of any application for affiliation shall be final.
- Affiliation certificate shall be issued to the unit on form
no.002
- The Executive Committee shall have power to waive or relax
requirements of the clauses (a) to (d) of Article No. 4.4 if the applicant agrees to
comply with these requirements within such time as may be stipulated by the Executive
Committee.
Article No.4.6: Financial Obligations:
- Admission Fee : Every unit shall be
required to pay admission fee of Rs.1,000/-
- Subscription : (i) Every unit shall pay to
the Federation as subscription @ Rs.45 per member/ per month.(ii) The subscriber shall
become due on 1st January every year and may either be paid in one lumpsum or by
quarterly/monthly instalments. Units who choose to pay the subscription in one lumpsum
should do so before the end of March of the year to which the payment relates. Units
choosing to pay by quarterly / monthly instalments shall pay the 1st instalment before
31st January, and subsequent instalments before the end of the quarter/month to which they
relate.
- i) Levy or Special Fund : The Federation
may decide to collect levy or special fund from the members through its units at a rate to
be determined by the Executive Committee from time to time. The units shall collect and
pay levy or special fund in accordance with the directions given by the Federation. The
Federation shall not collect levy or special fund for more than two occasions in one
financial year in ordinary course. ii) Every unit shall pay to the Federation @Rs.1,000/-
per retired Associate member as one time subscription.
- Delegates & Observers Fee : Every unit
shall pay triennially Rs.1,100/- as delegates'/ observers' fee for every representative of
the Delegate Session one month before the Triennial Conference.
- Defaulter : If any unit defaults in
fulfilling its financial obligations, the Executive Committee, after due notice to the
defaulting unit, may impose fine and/or hold it ineligible for participation in the
Triennial Conference or Delegates Session and/or curtail / set aside its normal rights and
privileges in part or full and/or terminate the affiliation granted to it.
Article No. 4.7 : Non-Financial Obligations :
- Every Unit shall periodically furnish to the Federation the
following:
- Two copies of list of Office-bearers and members of its
Executive Committee every year.
- Two copies of its audited statement of accounts and balance
sheet every year.
- Two copies of all changes and amendments effected into its
constitution/bye-laws and Rules, if any, within three months of such change or amendment.
- Two copies of the list of names of the nominated
representatives of the unit to the Triennial Conference and Delegate Session of the
Federation triennially.
- Every Unit shall implement or comply with the direction
given by the Federation on matters of organisational importance.
- No unit shall observe or act or do or follow or practice or
aim at anything contrary to the constitution stipulations, By-laws and Rules, objects,
polices and decisions of the Federation.
- No unit shall take up for settlement/resolution with the
management or any other cognigible authorities any matter that concerns general interest
of officers of the Bank or calls for a policy formulation on all India level in the Bank.
Article No. 4.8 : Forfeiture of Affiliation :
If any affiliated unit is deemed to have taken line or
committed act incompatible with and/or contrary to the Constitution stipulations,
bye-laws, rules, objects, polices of the Federation and deliberately avoided /disregarded
Federation's corrective direction, such units shall be liable to the penalised including
forfeiture of the affiliation granted.
Article No. 4.9 : Condonation & Re-affiliation
:
The Executive Committee of the Federation shall have powers
to condone delay, default, irregularity or any other inconsistent/contrary actions of any
unit on circumstances and merit. It can caution, reprimand fine and penalise otherwise as
the circumstances of the case under consideration any warrant. It may restore affiliation
to a penalised unit on the terms and conditions to be determined by it on simple majority
decision.
Article No. 5.1 : Membership through Units:
- All the members of all the affiliated units are the members
of the Federation. Cessation of the membership of units for whatever reason shall
automatically revoke individual's membership of the Federation.
- In case of a member having been transferred by the Bank to a
different state or cognisable territory such transferred member may, on his application
submitted for the purpose, be admitted to the membership of the local unit and such
transferred member shall be treated as a continuing member and not a new member.
Article No. 5.2 : Direct Membership:
- (i) In the event of there being no unit or the unit
having forfeited its affiliation with the Federation, in a state or cognisable territory,
any individual officer of the Bank posted in such place may seek admission to the 'direct
membership' of the Federation which shall grant such direct membership to such individual
officer on merit.
(ii) Officers in Scale IV and above shall be admitted as direct members.
- If the number of direct members of a State or cognisable
territory exceeds 7 (seven), the Federation shall aid and advise the direct members to
form a trade union unit there.
- Direct membership as well as membership through unit, at any
point of time, shall not simultaneously exist in a State or cognisable territory. Unit
shall override direct membership.
- An individual officer, on his admission to the direct
membership of the Federation, shall pay:
(i) an admission fee of Rs.20/-
(ii) monthly subscription of Rs.100/- and he/she shall continue to abide by the rules
of the Federation.
- A direct member shall be normally entitled to the benefits
provided by the Federation unless he/she is a defaulter or otherwise debarred by the
Federation or operation of law, etc.
Article No. 6.1 : Delegates Session :
- Once in every term of three years in the month of January
each unit shall be required to nominate its representatives to constitute the 'Delegates
Session' of the Triennial Conference of the Federation on the basis of one representative
for every block of 25 members of the first set of 150 members and thereafter one
representative for every block of 100 members of the rest (i.e., the membership strength
exceeding first set of 150 members) subject to minimum of 1 (one) and maximum of 20
(twenty). Major fraction of a block shall be treated as full block for this purpose. Such
nomination shall be on form-003.
- The Executive Committee of the Federation shall nominate not
exceeding two representatives from amongst the direct members of the Federation if and
when such direct members themselves are unable to elect their representatives to the
Delegates Session.
- The representatives so nominated to the Delegate Session
shall normally hold office till commencement of next Triennial Conference subject to the
pleasure of the unit which have the right to recall a representative and substitute
another in his/her place, by notice on Form-004 to the Federation. Such notice shall be
jointly signed by the President and the General Secretary of the Unit.
- Notwithstanding anything contained in clause (c) if the
nominated representative to the Delegates Session recalled or substitute by the unit,
happens to be an office-bearer of the Federation, such recalling or substitution shall
take effect only after the executive committee of the Federation has met and made
alternative arrangement for taking charge from such office-bearer, however if the
Executive Committee fails to make such arrangement within a period of 3 months from the
date of receipt of notice on Form-004, the recall and/or substitution, shall take effect
at the end of the period of 3 months and the office-bearer shall be deemed to have vacated
his/her post.
- If before expiry of the period of 3 months after a notice on
Form-004 is received from a unit an ordinary or special meeting of the Delegates Session
is held, the member recalled or substituted shall be permitted to attend such meeting but
shall not be entitled to vote on any motion before the house or to participate in the
election.
- A nominated representative ceases to be a member of the
Delegate Session if and when he/she is transferred by the Bank to a place outside the
territorial jurisdiction of his/her nominating unit unless he is admitted to the
membership of the unit in the territorial jurisdiction of which he/she is transferred and
posted and his/her membership of the Delegates Session is ratified by the later unit.
- The Delegates Session shall be the supreme body of the
Federation and shall have powers to take, make, alter, vary or set aside any or all
decisions relating to policy matters, vital issues and any matter of officers' general
interest.
Article No. 6.2 : Executive Committee :
- The Executive Committee shall consist of office-bearers and
the ex-officio members. The composition of the ex-officio members shall be as under:
6.2a)
- All Office-bearers and
- The following ex-officio members:
a) All the Regional Secretaries of each administrative region of the Bank
including Head Office to be nominated by the State Unit and shall be designated as
Regional Secretary.
b) General Secretary of the Unit unless he/she is an office-bearer of the Federation
shall represent his/her region, where he/she is posted, in place of Regional Secretary of
his/her region and shall be designated as Regional Secretary.
c) Co-opted members: Any change consequent upon restructuring of Bank's Administrative set
up shall automatically cause change in number of Region under the jurisdiction of the
State Unit. And shall increase or decrease the nomination of Regional Secretaries in the
composition of ex-officio members.
b) It shall be the duty and responsibility of the Executive
Committee to implement the programmes, policies and directives of the Delegates Session
and to take all such measures as may be necessary within the framework of this
constitution for strengthening the organisational, cultural and financial position of the
Federation.
c) The Executive Committee shall have powers to make bye-laws etc. and appoint
sub-committees, teams, etc. for specific purpose. Subject to ratification by the Delegates
Session it shall have powers to supersede a unit on the ground of its committing act
detrimental to the Federation and/or officers' collective interest and refusing and
defying directives given to it by the Federation.
d) When the Delegates Session is not in meeting and the Executive Committee is of the
opinion that it is not feasible to convene a meeting of the Delegate Session to decide any
matter of urgent nature, which should ordinarily have been referred to the Delegates
Session except the matter set out in Article 9.4(a) the Executive Committee shall have the
power and discretion to take such action as may be necessary and report the same to the
delegates session at the earliest possible opportunity.
Article No. 6.3 : Secretariat :
The Secretariat shall consist of the following
office-bearers elected by the Delegates Session from amongst its members, in the manner
prescribed in this constitution:

Article No. 6.4 : Order of Precedence :
a) The various bodies constituted under the provisions of
the constitution shall have the following order of precedence in the matter of powers and
authority:
i) Delegate Session
ii) Executive Committee
iii) Secretariat
b) In the event of any conflict in the view, stand, action, policy, decision, etc between
any two or more of the above bodies, the decision of the body higher among them in
precedence in the above order shall have the overriding effect.
Article No. 6.5 : No Executive Committee member is permitted to be
represented by any other member in his/her absence in the meeting of Executive
Committee/Office-Bearers as the case may be.
Article No. 7 : Elections :
Article No. 7.1 : Election :
a) Elections to the various posts of Office-bearers shall be held at the Delegate Session
of the Triennial Conference of the Federation.
b) The Delegates Session shall appoint a Returning Officers, a member of the Delegates
Session, who declares in writing that he is not a candidate for any post for which
elections are to be conducted.
c) Only the members of the Delegates Session shall be eligible to contest the election.
d) Candidature of every contestant shall be proposed and seconded by two separate members
of the Delegates Session.
e) Elections shall be held in ordinary course by secret ballot unless otherwise
unanimously decided by the Delegate Session under the Chairmanship of the appointed
Returning Officer.
Article No. 7.2 : Tenure :
a) The tenure of office-bearers of the Executive Committee shall be 3 years in ordinary
course. They shall, however, continue to hold office till election are held at next
conference of the Federation.
b) Nominated members of the unit shall hold office during the pleasure of the unit who
nominated them.
Article No. 7.3 : Interim Vacancies :
a) Vacancies in the Secretariat or the Executive Committee caused by death, resignation,
removal or otherwise shall be filled up by co-option by the Executive Committee from
amongst the members of the Delegates Session.
b) Vacancies in the Delegates position caused by death, resignation, removal or otherwise
shall be filled up by the concerned unit.
c) Any member of Secretariat or Executive Committee or Delegates Session of the Federation
having lost confidence of his/her base unit during the tenure shall vacate the post within
90 days on the expiry of which he/she shall automatically cease to hold the post. Such
vacancies shall be filled up in the manner as set out in Article 7.3(a) and (b).
Article No. 8 : Powers and Disciplinary Procedure :
Article No. 8.1 : If in the opinion of Executive Committee of the
Federation the conduct of any member of the Secretariat or Executive Committee has brought
or is likely to bring the Federation contempt or disrepute or jeopardise the unity and
integrity of the Federation or if the member has committed acts and practices repugnant to
the objects, advice, directive, policy or resolution of the Executive Committee or
Delegate Session or has refused to comply with such advice, directive, policy or
resolution or has acted contrary to officers' collective, Federation or public interest,
the Executive Committee shall have the power to take appropriate disciplinary action
including removal from office against such errant member of secretariat or Executive
Committee.
Article No. 8.2 : The Executive Committee shall also have powers to
revoke / terminate the affiliation of a Unit if any member, or office-bearer or a
representative of such unit engages in acts violative of the discipline of the Federation
and despite directive issued by the Executive Committee of the Federation that appropriate
disciplinary action be taken by such unit against its errant member, office-bearer or
representative, the unit neglects, fails or refuses to take such action. The Executive
Committee shall also have powers to revoke/terminate affiliation of a unit on any ground
mentioned in Article 4.6 (a), 4.8 and 8.1.
Article No. 8.3 : Any unit or member of secretariat or Executive
Committee of the Federation against whom action is contemplated shall be duly informed
about the charges and allegations against it or him/her and shall be given reasonable
opportunity of being heard.
Article No. 8.4 : A member of Secretariat of Executive Committee of the
Federation removed from the office or any unit whose affiliation has been revoked
/terminated by the Executive Committee may appeal to the Delegates Session at its next
meeting.
Article No. 8.5 : The Executive Committee shall have powers to take
appropriate disciplinary action, in the same manner as set out in Article 4.6(a), 4.8 and
8.1 to 8.3 against its errant direct members. Action so taken is final.
Article No. 9 : Meetings :
Article No. 9.1 (a) : The Delegates Session shall meet once in 3 years at
such place and time as may be decided by the Executive Committee.
9.1 (b) : The Executive Committee shall meet once in 6 months preferably
in July and January and/or if required earlier.
9.1 (c) : The Secretariat shall met one in Six months preferably in April
and October and/or if required earlier.
Article No. 9.2 : Notice :
a) Notice of clear 45 and 15 days shall be necessary for the ordinary and special (not
requisitioned) meetings respectively of the Delegates Session.
b) Notice of clear 15 days shall be necessary for ordinary meeting of the Executive
Committee.
c) Notice of clear 7 days shall be necessary for ordinary meeting of the Secretariat.
d) Communication in any reasonable form, ordinarily clear 3 days before the emergent
meeting of Executive Committee or Secretariat, shall be necessary. Such communication
shall have rank of due notice for the meeting.
Article No. 9.3 : Quorum :
a) The quorum for the meetings of the Delegates Session, Executive Committee and
Secretariat shall be one third of the number of the respective bodies.
b) If the quorum does not exist within one hour of the time fixed for the commencement of
the meeting, the meeting shall be adjourned ordinarily to the next day.
c) No quorum shall be required for any adjourned meeting.
Article No. 9.4 : Business :
9.4 (a) : The Delegates Session at its triennial meeting which shall be
known as 'Triennial Delegates Session' of the Federation shall transact the following
business:
i) Consider and adopt the General Secretary's report and audited statement of accounts
ii) Appoint Auditors.
iii) Consider Amendments to the Constitution as recommended by the Executive Committee
and/or the Amendments proposed by the units and/or the Amendments proposed by the units
and/or direct members of which due notice has been given.
iv) Consider Resolutions / Prepositions / Motions recommended by the Executive Committee
and/or brought forward by the units or direct members of which due notice has been given.
v) Set out general lines and principal programme of activities to be followed by the
ensuing Executive Committee during its tenure.
vi) Elect the office-bearer.
vii) Consider any other matter with the permission of the Chair.
9.4 (b) : The Executive Committee or Secretariat shall transact such
business as may have been specified for the notice calling for meeting. The President
shall however have power to permit any other matter to be raised /discussed at the
meeting.
9.4 (c) : The special meeting of the Delegates Session and emergency
meeting of the Executive Committee or Secretariat shall transact only the business
specified in the requisition and/or notice calling for the meeting.
9.5 : Decisions :
a) All meetings and matters tabled before the Delegates Session, Executive Committee or
Secretariat for consideration, unless otherwise specifically provided in this
Constitution, shall be decided by simple majority. Each member shall have one vote. The
Chairman of the meeting shall not vote except when there is a tie.
b) All decisions of the Delegates Session, Executive Committee and Secretariat shall be
binding on the members of the respective bodies in particular and units and direct members
in general.
Article No. 9.6 : Emergency / Extra-ordinary or Requisitioned Meetings:
a) Special Meetings of the Delegates Session may be convened by the Executive Committee
and emergency meeting of the Executive Committee or Secretariat may be convened by the
President only to consider specified item of business of paramount importance, urgency and
value. The requirements of notice and quorum as set down in Article 9.2(a), 9.2 (d) and
9.3 shall apply to such meetings.
b) Special meetings of the Delegates Session Executive Committee or Secretariat shall be
called if a requisition signed by one third of the members of the respective bodies is
received by the President or the General Secretary. Notice and quorum for such
requisitioned meetings shall be the same as for ordinary meetings of these bodies.
However, if quorum is not available within the time specified, the requisition shall be
treated automatically rejected.
c) If the President or the General Secretary fails to convene the meetings within a period
of one month of the receipt of the requisition, the requisitions shall have the right to
hold the meeting and transact the business for which the meeting was requisitioned. The
requirements of notice and quorum as set down in Article 9.2(a) for ordinary meetings and
9.3(a) shall apply to such requisitioned meetings. The meetings held by the
requisitionists shall not be adjourned for want of quorum. If quorum is not available
within the time specified, the meeting shall be treated automatically cancelled.
Article No. 10 : Duties :
10.1 : President : The President shall be all Executive Head of the
Federation. His advice and guidance shall be taken at all matters. He shall preside over
all the meetings of the Federation. The President shall have powers to call emergency
meetings of the Executive Committee or Secretariat.
10.2 :Senior Vice-President : The Senior Vice-President shall be the
Deputy Executive Head of the Federation, next to President in succession. Duties
responsibilities and authorities of President shall vest in him if and when President is
absent. He shall assist the President in the discharge of his duties in ordinary course.
10.3 : Vice-President : The Vice-Presidents, in ordinary course shall
assist the President and the Senior Vice-President in the discharge of their duties. In
the absent of the President as well as the Senior Vice-President, one amongst the
Vice-Presidents shall act as President.
10.4 : General Secretary : The General Secretary shall perform all such
functions as are necessary for achieving the objects of the Federation. He shall conduct
all correspondence, convene all meetings except emergency meetings, take minutes, maintain
connected records, pass bills of expenses and generally exercise control over entire
affairs of the Federation. He shall prepare a report on the working of the Federation and
submit the same to the Delegates Session at its triennial ordinary meeting after obtaining
approval of the Executive Committee. The General Secretary shall be responsible for
submitting the statements and returns as required under the Trade Unions Act or any other
relative legislation.
10.5 : Deputy General Secretaries : Next to General Secretary in
succession, they shall generally assist General Secretary in the discharge of his duties.
They shall make periodical report to the General Secretary on state of the Organisation
and the specified areas of operation, if any, as and when assigned to them by the General
Secretary. Secretariat duties, responsibilities and authorities of the General Secretary
shall vest in them if and when the General Secretary is absent.
10.6 : Organising Secretary : Organising Secretaries shall look after
Organisational development of the areas as decided by Executive Committee from time to
time. Organising Secretaries shall take all steps and consolidate further the organisation
in the respective areas. They shall submit periodical reports to the General Secretary on
the organisation and the specified area of operation if any assigned to them by the
General Secretary / Secretariat of Executive Committee.
10.7 : Assistant General Secretaries : The Assistant General Secretaries
shall function in their respective areas of operation, assigned to them and make quarterly
report to the General Secretary, Deputy General Secretaries and Organising Secretaries on
the State of Organisation. They shall ordinarily act as go between for Federation and the
units in their respective commands. They shall generally assist the General Secretary,
Deputy General Secretaries and Organising Secretary in the discharge of their respective
duties.
10.8 : a) Treasurer : The Treasurer shall be responsible for collection
of fees, subscriptions and all other receivables, administration of funds, maintenance of
accounts, audit, submission of periodical statements to the Executive Committee and/or
Secretariat and presentation of final accounts and statements to the Delegates Session.
He, on behalf of the Executive Committee, shall have custody of an responsibility for the
valuables and properties of the Federation. He shall keep with him, for meeting exigency
and petty expenses, a fund in cash, not exceeding Rs.500/- at a time or such amount as may
be authorised by the Executive Committee or Secretariat.
b) Assistant Treasurer : The Assistant Treasurer is next to the Treasurer
in succession. He shall assist the Treasurer in the discharge of his duties. Duties,
responsibilities and authorities of the Treasurer shall vest in him if and when the
Treasurer is absent.
10.9: a) Office Secretaries : Two Office Secretaries shall be nominated
into the Executive Committee from amongst the members by the General Secretary for
adoption of Executive Committee. They shall perform all duties expedient for maintenance
of office work including writing / replying ordinary letters, typing, despatching, etc.
and/or any other jobs entrusted to them by the President/Senior Vice-President / General
Secretary / Deputy General Secretaries Organising Secretaries/Treasurer or by the
Executive Committee from time to time. In ordinary course they shall attend Executive
Committee/Secretariat meetings enjoying all duties, rights and privileges at par with
other members except the right to vote. The Executive Committee may consider revocation of
nomination and adoption of two others as Office Secretary.
b) In order to give representations to resource persons/direct members, five members will
be co-opted to Executive Committee from amongst members of its units, by the Executive
Committee.
10.10 : Secretary: He shall generally assist General Secretary / Deputy
General Secretaries in the discharge of their duties. He shall make periodical reports to
the General Secretary / Deputy General Secretaries on state of the organisation and the
specified areas of operation, if any, as and when assigned to him by the General
Secretary.
10.11 : In order to give representations to lady officers, one lady
member will be co-opted to the Executive Committee from amongst lady members of its units
by the Executive Committee.
10.12 : In order to give representations to retired officers, one retired
associate member will be co-opted to the Executive Committee from amongst the retire
associate members of its units by the Executive Committee.
Article No. 11 : Fund :
11.1 : Custody : The funds of the Federation shall vest in the Executive
Committee and shall be deposited in a Bank or co-operative society or any other financial
institution approved by it. The account shall be operated upon by the President or Senior
Vice-President or General Secretary or Deputy General Secretary jointly with the Treasurer
or with any other person nominated by the Executive Committee.
11.2 : Composition of Funds : All income from collection of levy or
special fund shall form special fund. All income other than from collection of levy or
special fund shall form General Fund.
11.3 : General Fund : Ordinarily the General Fund of the Federation may
not be spent except on maintenance of Organisational administration, action programme,
payment of salaries and allowances, audit of accounts, legal proceedings, compensation,
publications, financial help, social and cultural work. The General Fund shall not be
spent on matters other than the objects of this constitution and the purposes specified in
Trade Unions Acts and other legislations except with the authorisation of the Executive
Committee.
11.4 : Special Fund : The Special Fund raised from time to time shall be
utilised normally for the purpose for which it is raised. However, the Executive Committee
shall have powers to utilise it for general purpose in the event of the General Fund
running short of need.
Article No. 11.5 : Benefits : With reference to the financial position of
the Federation, the Delegates Session shall decide from time to time the benefits which
can be given to the members. If a unit goes on strike without the leave of the Federation,
it shall not be entitled to any benefit. The Federation may also envisage disciplinary
steps against such unit as it may deem fit subject to the provisions of this Constitution.
Article No. 11.6 : Defrayability : The General Secretary or President
shall have powers to defray Rs.10,000/- or any other amount stipulated by the Executive
Committee, in one event, without obtaining prior authorisation of but subject to
ratification by the Executive Committee.
Article No. 11.7 : Audit : Statements of Accounts for the period
commencing from the previous meeting of the Triennial Delegates Session, duly audited by
an Auditor appointed by the Delegates Session shall be submitted to the Triennial Session.
Article No. 11.8 : Inspection by Unit: The books of accounts and other
records may be inspected by any unit on giving seven days notice to the General Secretary.
Article No. 12 : Membership Register :
12.1 : Register of Units : The Federation shall maintain a Register
showing therein the names and addresses of all its units, strength of their primary
membership (providing scope for updating through periodical revision), subscription due
and paid and such other particulars as the Executive Committee may specify.
12.2 : Register of Direct Membership : The Federation shall maintain a
register showing therein the names, address, subscription due and paid and such other
particulars as the Executive Committee may require.
12.3 : Inspection : The Registers shall be made available for Inspection
by any unit/member of the Delegates Session of the Federation on requisition.
Article No. 13 : Framing of Rules :
13.1 : Competence : The Executive Committee of the Federation may frame
rules not repugnant to the objects and provisions of this constitution, for purposes of
carrying out the functions of the Federation and for all such matters not provided for in
these bye-laws.
13.3 : Prospects : Without prejudice to the generality of foregoing
competence of the Executive Committee it may frame rules for :
a) Conduct of members of the Delegates Session, office-bearers and members of the
Executive Committee and the Secretariat members.
b) Conduct of the business at meetings of Delegates Session, Executive Committee and
Secretariat.
c) Conduct of elections.
d) Delegation of authority and powers to office-bearers and ex-officio members of the
Executive Committee.
e) Federation's representation to other Organisations/Authorities.
f) Affiliation with other Organisations.
g) Inspection of Register of Units/direct membership and books of accounts.
h) Reference of disputes for arbitration.
i) Remuneration and other terms and conditions of staff of the Federation.
j) Reimbursement of travelling expenses to the office-bearers and others.
k) Allocation/budgeting of funds, sanction of expenditure and maintenance of accounts.
Article No. 14 : Legal Proceedings :
14.1 : For itself : The Federation, a body corporate, may sue or be sued
in the name of its General Secretary or in the name of any other person so authorised by
the Executive Committee in respect of its own interests, rights and obligations.
14.2 : For others : The Federation may take legal proceedings in the name
of its General Secretary or in the name of any other person so authorised by the Executive
Committee, on behalf of its units and/or their membership, or on behalf of the Bank
Officers collectively, or on behalf of a class of officers, or one behalf of any
individual officer if specifically authorised by them/him for enforcement or protection of
their/his legal and fundamental rights connected with or arising out of employment or
non-employment or the terms of employment or the conditions of service of any one or more
of them.
Article No. 15 : Interpretation and Removal of Ambiguities :
15.1 : Clarifications : The Executive Committee may issue clarifications
for removal of ambiguities. All such clarifications shall be placed before the Delegates
Session at its next meeting for ratification.
15.2 : Arbitration : Any dispute in regard to the interpretation of any
provision of this constitution, or action taken by the committee/body/functionary
constitute under the constitution or the Rules set out by the Executive Committee or any
dispute between an office-bearer and member or between two members or any dispute relating
to the conduct of affairs of the Federation/units shall be submitted for resolution
through arbitration. For this purpose the Executive Committee shall constitute a panel of
Arbitrators and lay down procedure for reference of disputes for arbitration.
Article No. 16 : Amendment of Constitution :
16.1 : Proposal of Executive Committee : All proposals for amendment to
the constitution shall be placed by the Executive Committee before the Delegates Session
at its triennial meeting or meeting specifically called for this purpose. All such motions
shall require support of two-thirds of the members of the Delegates Session present and
voting.
16.2 : Proposal of others : Any other member of the Delegates Session
desiring to move the amendment to the constitution shall give notice of the motion to the
General Secretary at least clear 30 days before the meeting.
Article No. 17 : Other Matters :
17.1 : Code of Discipline : The Federation shall not be dissolved except
on a motion passed by four-fifths of the members of the Delegates Session at a meeting
specifically convened to consider the motion. Any such proposal of dissolution of
Federation should be placed to Executive Committee who shall have to pass by four-fifth of
the members of the Executive Committee specifically convened to consider the motion to be
placed in the Delegates Session of Federation. The assets of the Federation on Dissolution
shall be disposed of in accordance with the decision of the meeting. Other legal
requirements shall be satisfied and formalities observed in accordance with the
stipulations of relative legislations.
17.2 : Official Year : The Official year of the Federation, for all
purposes, shall be the English Calendar Year commencing from 1st January and ending in
31st December. |
